Terms & Conditions — Wholesale

These Terms & Conditions apply to the purchase of product/s supplied by Direct Compost Solutions, whether or not described or contained in an attached quotation or order.

1. General Terms — This Agreement constitutes the entire agreement between the Supplier and the Buyer relating to this sale. The parties have not entered into, and are not bound by, any collateral or other agreements unless referred to in this Agreement. Where the Buyer is the final recipient, payment for the product is made in full prior to goods being supplied, by post, collection or delivery. Where the Buyer is a Reseller, this agreement forms part of, and should be read alongside, any existing Supply Agreement and Application for a Commercial Credit Account. Any dates provided for delivery are estimates only; the Supplier is not liable for loss or damage arising from delay. Title in the product passes to the Buyer upon payment in full. The Buyer must pay any GST liability on the sale unless already included in the purchase price. Any variation or cancellation of an order is permitted only with the Supplier's express written consent.

2. Returns, Replacements, Refunds & Repairs — This clause operates without prejudice to any other clause in this agreement. The Buyer may make a complaint by notifying the Supplier in writing no later than 15 days after delivery, providing proof of purchase (invoice or receipt). The Supplier must examine the notified defect within 30 days of receiving a complaint, and may at its discretion replace the defective product or parts, or approve a refund. 3. General Exemptions — The Buyer releases the Supplier from any loss, cost, claim or liability arising from use of the product, including consequential loss, damage or loss of profit resulting from delay, defective or faulty materials or workmanship, negligence, or any act or omission by the Supplier. Claims for refund, repair or replacement must be made within the time period set out in this agreement. The Supplier is not liable for damage or loss suffered by using the product in a way not anticipated by the Supplier or resellers, or for damage occurring after delivery.

4. Right of Entry — The Wholesale Buyer agrees that the Supplier has the right to enter any premises where the Supplier's products are held, for the purpose of retaking possession of and removing the products, or for any purpose incidental to enforcing the Supplier's rights. The Buyer agrees to indemnify the Supplier for any costs, charges or expenses incurred in exercising such rights.

5. Privacy — The Supplier respects the Buyer's privacy and will not pass personal information to other merchants or marketing databases, except that in the event of fraudulent transactions the Supplier may pass relevant information to the Police, financial institutions, the Australian Taxation Office and other appropriate government agencies. 6. Definitions — "GST Liability" means the liability of the party making a taxable supply (the Supplier) to another party (the Recipient) to pay GST under the A New Tax System (Goods and Services Tax) Act 1999 and associated legislation. "Supplier" means Direct Compost Solutions. "Reseller" means an independent business, not owned by the Supplier, that sells the Supplier's products or incorporates them into other products for sale to the Buyer.

7. Jurisdiction — This agreement is governed by the laws of the State of Queensland, Australia.
